White Label Independent Contractor Agreement

This Agreement is entered into between Whale Made Sites and Designer on the date of signing.

1. Independent Contractor Relationship

Designer agrees they are an independent contractor and not an employee, partner, or agent of Whale Made Sites. Designer is responsible for all taxes, insurance, and expenses related to their work.

No exclusivity is implied. Whale Made Sites may work with other designers at any time. Projects are not guaranteed.

2. Scope of Work

Designer will provide website design and build services using Whale Made Sites Mega Templates only, as assigned by Whale Made Sites.

Designer agrees to:

  • Follow Whale Made Sites workflows, design systems, and launch checklists

  • Complete only the tasks assigned

  • Not communicate with end clients unless explicitly approved in writing

Designer has no authority to quote pricing, promise features, set timelines, or make commitments to clients.

3. Template and Intellectual Property Ownership

All templates, layouts, sections, custom CSS, documentation, workflows, and assets provided by Whale Made Sites remain the sole intellectual property of Whale Made Sites.

Designer agrees:

  • Templates may only be used for projects assigned by Whale Made Sites

  • Templates may not be duplicated, reused, shared, resold, reverse engineered, or adapted for personal use or other clients

  • Templates may not be used for any other white label, freelance, or personal projects

  • Access to templates is revocable at any time

Any violation of this section constitutes immediate breach of contract.

4. Confidentiality and Non Disclosure

Designer agrees to keep all business, client, and internal information confidential, including but not limited to:

  • Client names and contact information

  • Login credentials, usernames, passwords, and access tokens

  • Pricing, proposals, and contracts

  • Internal workflows, partnerships, and processes

Designer may not share, store, reuse, or disclose this information in any form.

5. Client Account Access and Security

Designer acknowledges they may receive access to private client accounts, including usernames and passwords.

Designer agrees:

  • Access is for project completion only

  • Credentials may not be used for any purpose outside assigned work

  • Credentials may not be shared with any third party

  • Credentials must be handled securely and not stored long term

Designer understands that misuse or sharing of client access information may result in financial liability and legal action.

6. White Label and Non Circumvention

Designer agrees:

  • All work is white label under Whale Made Sites

  • Designer will not claim the work publicly as their own

  • Designer may not include the work in their portfolio without written permission

Designer may not:

  • Contact or solicit Whale Made Sites clients directly

  • Attempt to work directly with Whale Made Sites clients or marketing partners

  • Circumvent Whale Made Sites for future work

This applies during the agreement and for a defined period after termination.

7. Timelines and Communication

Designer agrees to deliver work in a timely manner according to agreed timelines.

If Designer cannot meet a deadline, they must notify Whale Made Sites immediately. Failure to communicate delays is considered a breach of contract.

Trial projects are held to the same standards as full projects.

8. Quality Standards and Revisions

All work must meet Whale Made Sites quality standards and follow template rules.

Whale Made Sites may request revisions or rework if standards are not met. Repeated quality issues may result in termination.

9. Payment Terms

Payment structure, rates, and timelines will be defined per project or in a separate addendum.

Trial projects do not guarantee future work.

10. Termination

Either party may terminate this agreement with written notice.

Whale Made Sites may terminate immediately for:

  • Intellectual property misuse

  • Breach of confidentiality

  • Non circumvention violations

  • Failure to communicate or deliver

Upon termination, all access to templates, systems, and client accounts must be revoked immediately.

11. Liability and Indemnification

Designer is responsible for their own work and agrees to indemnify Whale Made Sites from claims, damages, or losses resulting from their actions, errors, or omissions.

12. Governing Law

This agreement is governed by the laws of the state in which Whale Made Sites operates.
